Platform Usage Agreement / ข้อตกลงการใช้งานแพลตฟอร์ม
1. Definitions / คำจำกัดความ
English:
Unless otherwise defined herein, the following terms shall have the meanings ascribed below:
- “Company” or “Platform Provider” refers to the company that develops, owns, and operates this Platform.
- “User” means any individual or organization who registers, accesses, or uses the Platform in any capacity.
- “Platform” refers to the system, software, algorithms, databases, interfaces, data visualization tools, and all other components operated under the Company’s management.
- “Confidential Information” includes all forms of technical or strategic data related to the Platform, such as source code, algorithms, trading logic, proprietary tools, indicators, dashboards, data models, UI/UX design, strategic flow, trade checklists, analytical structures, technical records, and any user-related data.
- “Intellectual Property (IP)” refers to all copyrights, trademarks, patents, trade secrets, design rights, and other proprietary rights arising from or embedded in the Platform.

เว้นแต่จะได้กำหนดไว้เป็นอย่างอื่นในเอกสารฉบับนี้ คำดังต่อไปนี้ให้มีความหมายดังนี้:
- “บริษัท” หรือ “ผู้ให้บริการแพลตฟอร์ม” หมายถึง บริษัทที่พัฒนา เป็นเจ้าของ และให้บริการแพลตฟอร์มนี้
- “ผู้ใช้งาน” หมายถึง บุคคลธรรมดาหรือนิติบุคคลที่ลงทะเบียน เข้าใช้งาน หรือใช้ประโยชน์จากแพลตฟอร์มไม่ว่าทางใด
- “แพลตฟอร์ม” หมายถึง ระบบซอฟต์แวร์ เครื่องมือ อัลกอริธึม ฐานข้อมูล อินเทอร์เฟซ หรือส่วนประกอบอื่นใดที่อยู่ภายใต้การดูแลของบริษัท
- “ข้อมูลลับ” หมายถึง ข้อมูลทุกประเภทที่เกี่ยวข้องกับแพลตฟอร์ม เช่น โค้ดต้นฉบับ อัลกอริธึม กลยุทธ์ เครื่องมือเฉพาะ อินดิเคเตอร์ โครงสร้างข้อมูล การออกแบบ UI/UX แผงควบคุม (Dashboard) Logic Tree และข้อมูลทางเทคนิค
- “ทรัพย์สินทางปัญญา” หมายถึง ลิขสิทธิ์ เครื่องหมายการค้า สิทธิบัตร ความลับทางการค้า สิทธิในงานออกแบบ หรือสิทธิอื่นใดที่เกิดจากหรือเกี่ยวข้องกับแพลตฟอร์ม
2. Purpose of Agreement / วัตถุประสงค์ของข้อตกลง
English:
This Agreement is established to:
- Protect the Company’s intellectual property, algorithms, and proprietary technology embedded within the Platform.
- Ensure that all User data and usage information are safeguarded under strict privacy and security standards.
- Define clear boundaries of usage to prevent unauthorized exploitation or misuse of the Platform.

ข้อตกลงฉบับนี้จัดทำขึ้นเพื่อ:
- คุ้มครองทรัพย์สินทางปัญญา อัลกอริธึม และเทคโนโลยีเฉพาะของบริษัทที่ปรากฏในแพลตฟอร์ม
- สร้างความมั่นใจว่าข้อมูลส่วนบุคคลและข้อมูลการใช้งานของผู้ใช้งานจะได้รับการปกป้องตามมาตรฐานความปลอดภัยสูงสุด
- กำหนดขอบเขตการใช้งานอย่างชัดเจนเพื่อป้องกันการนำแพลตฟอร์มไปใช้ผิดวัตถุประสงค์
3. License Grant & Usage Restrictions / การให้สิทธิ์และข้อจำกัดการใช้งาน
English:
- The Company grants the User a non-exclusive, non-transferable, revocable license to access and use the Platform for lawful purposes only.
- The User shall not copy, modify, decompile, reverse engineer, sell, or distribute any part of the Platform without written consent from the Company.
- The User agrees not to use the Platform for commercial resale, data scraping, or integration with unauthorized systems.

- บริษัทอนุญาตให้ผู้ใช้งานใช้แพลตฟอร์มได้โดยมีลักษณะ ไม่ผูกขาด ไม่สามารถโอนสิทธิ์ และสามารถเพิกถอนได้ เพื่อวัตถุประสงค์ที่ถูกต้องตามกฎหมายเท่านั้น
- ผู้ใช้งานจะต้องไม่ทำซ้ำ ดัดแปลง วิจัยย้อนกลับ (Reverse Engineer) จำหน่าย หรือเผยแพร่ส่วนใดของแพลตฟอร์มโดยไม่ได้รับอนุญาตเป็นลายลักษณ์อักษร
- ห้ามนำแพลตฟอร์มไปใช้เพื่อจำหน่ายต่อ เก็บข้อมูล (Data Scraping) หรือเชื่อมต่อกับระบบอื่นโดยไม่ได้รับอนุญาตจากบริษัท
4. Confidentiality / การรักษาความลับ
English:
All Confidential Information disclosed to the User shall remain the property of the Company. The User shall keep such information strictly confidential and shall not disclose it to any third party. This obligation shall remain in effect for at least ten (10) years after termination of the Agreement.

ข้อมูลลับทั้งหมดที่เปิดเผยแก่ผู้ใช้งานยังคงเป็นทรัพย์สินของบริษัทแต่เพียงผู้เดียว ผู้ใช้งานต้องเก็บรักษาไว้เป็นความลับอย่างเคร่งครัด ห้ามเปิดเผยแก่บุคคลภายนอก เว้นแต่ได้รับอนุญาตเป็นลายลักษณ์อักษรจากบริษัท โดยข้อผูกพันนี้ยังคงมีผลต่อเนื่องไม่น้อยกว่า สิบ (10) ปี หลังสิ้นสุดการใช้งาน
5. Intellectual Property Rights / สิทธิในทรัพย์สินทางปัญญา
English:
All copyrights, trademarks, patents, and trade secrets embedded in the Platform remain the exclusive property of the Company. The use of the Platform does not transfer any ownership rights to the User.

สิทธิในลิขสิทธิ์ เครื่องหมายการค้า สิทธิบัตร หรือความลับทางการค้าทั้งหมดที่อยู่ในแพลตฟอร์มเป็นของบริษัทโดยเฉพาะ การใช้งานแพลตฟอร์มมิได้เป็นการโอนกรรมสิทธิ์หรือสิทธิใดๆ ให้แก่ผู้ใช้งาน
6. Privacy & Data Protection / ความเป็นส่วนตัวและการคุ้มครองข้อมูลส่วนบุคคล
English:
The Company complies with PDPA and GDPR standards.
Collected data includes registration information, settings, behavioral and technical data.
Data is used solely to improve service quality, analytics, and personalization — not for sale or unauthorized sharing.
Users may request to access, correct, or delete their personal data at any time.

บริษัทให้ความสำคัญต่อการคุ้มครองข้อมูลส่วนบุคคลตามมาตรฐาน PDPA/GDPR
ข้อมูลที่เก็บรวบรวมประกอบด้วยข้อมูลลงทะเบียน การตั้งค่า พฤติกรรมการใช้งาน และข้อมูลทางเทคนิค
บริษัทใช้ข้อมูลดังกล่าวเพื่อปรับปรุงคุณภาพบริการและประสบการณ์ของผู้ใช้งานเท่านั้น โดยไม่มีการขายหรือเปิดเผยต่อบุคคลภายนอกโดยไม่ได้รับความยินยอม
ผู้ใช้งานสามารถร้องขอเข้าถึง แก้ไข หรือลบข้อมูลส่วนบุคคลของตนได้ตลอดเวลา
7. Termination / การระงับหรือยกเลิกการใช้งาน
English:
The Company reserves the right to suspend or terminate User access in cases of:
- Violation of these Terms;
- Infringement of intellectual property;
- Unauthorized commercial use or harmful activities;
- Legal or security risks.
Upon termination, all rights granted to the User shall immediately cease, and the User must discontinue use of the Platform.

บริษัทมีสิทธิ์ระงับหรือยกเลิกสิทธิ์การใช้งานของผู้ใช้งานได้ในกรณีดังต่อไปนี้:
- ฝ่าฝืนข้อตกลงหรือเงื่อนไขในเอกสารนี้
- กระทำการละเมิดทรัพย์สินทางปัญญา
- ใช้งานในเชิงพาณิชย์โดยไม่ได้รับอนุญาต หรือกระทำการที่ก่อให้เกิดความเสียหายต่อระบบ
- มีเหตุผลด้านความปลอดภัยหรือข้อกฎหมาย
เมื่อถูกระงับหรือสิ้นสุดการใช้งาน สิทธิ์ทั้งหมดของผู้ใช้งานจะสิ้นสุดลงทันที และผู้ใช้งานต้องหยุดการใช้งานแพลตฟอร์มโดยสิ้นเชิง
8. Limitation of Liability & Disclaimer / ข้อจำกัดความรับผิด
English:
The Platform is provided “as is.” The Company disclaims any warranty, express or implied. The Company shall not be liable for any damages resulting from misuse, system interruption, cyber-attacks, or force majeure. Users assume all responsibility for their use of the Platform.

แพลตฟอร์มนี้ให้บริการตามสภาพ (“as is”) บริษัทไม่รับรองความถูกต้อง ความสมบูรณ์ หรือผลลัพธ์ใดๆ จากการใช้งาน
บริษัทไม่รับผิดชอบต่อความเสียหายใดๆ ที่เกิดจากการใช้งานผิดวิธี ความขัดข้องทางเทคนิค การโจมตีทางไซเบอร์ หรือเหตุสุดวิสัย
ผู้ใช้งานรับทราบและยอมรับว่าการใช้งานเป็นความเสี่ยงของตนเองโดยสมบูรณ์
9. Amendments / การแก้ไขข้อตกลง
English:
The Company reserves the right to update or amend this Agreement at any time. Updated terms shall be effective immediately upon posting on the Platform.

บริษัทขอสงวนสิทธิ์ในการปรับปรุงหรือแก้ไขข้อตกลงนี้ได้ทุกเวลา โดยข้อตกลงที่แก้ไขจะมีผลทันทีเมื่อประกาศบนแพลตฟอร์ม
10. Governing Law & Jurisdiction / กฎหมายที่ใช้บังคับและเขตอำนาจศาล
English:
This Agreement shall be governed by and construed in accordance with the laws of Thailand. Any disputes shall be submitted to the jurisdiction of Thai courts.

ข้อตกลงนี้อยู่ภายใต้กฎหมายไทย และหากมีข้อพิพาทเกิดขึ้น ให้อยู่ภายใต้เขตอำนาจของศาลไทย
11. Acceptance / การยอมรับข้อตกลง
English:
By accessing, registering, or clicking “Accept Terms,” the User acknowledges that they have read, understood, and agreed to all provisions herein.
ภาษาไทย:
เมื่อผู้ใช้งานเข้าสู่ระบบ ลงทะเบียน หรือกด “ยอมรับเงื่อนไข” ถือว่าผู้ใช้งานได้อ่าน ทำความเข้าใจ และยอมรับเงื่อนไขทั้งหมดในข้อตกลงฉบับนี้แล้ว
